Act as the in-house representative of the company on all legal aspects;
Design and oversee the company’s policy and position on legal matters;
Represent the company in legal matters (if and when required) against third parties;
Provide legal support/advise to the company management in relation with new business partnerships; as well as any topics with regards to the existing ones;
Advise on confidentiality agreements, term sheets, LOIs for potential transactions – from a legal perspective;
Negotiation, and from time-to-time drafting, of contracts in various areas of the company’s activities (on behalf of the company itself or on behalf of the asset owner entities), including but not limited to: strategic management agreements with the asset owner entities, property management agreements with third parties, agreements with contractors, agreements with other third-party service providers, for assets/projects under development or operational;
Preparation, analysis or verification of charters, founders’ decisions, powers of attorney and orders; provide the same with an advisory approach for other intra-group counterparties in the transactions (if and when required);
Carrying out and monitoring (and/or advising relevant parties), of the fulfilment of legal requirements with respect to the whole assets and activities;
Commenting and advising on any material agreements that the property management companies may enter into with third parties – that are relevant to the assets under management (such as leasing, purchase and sale agreements);
Monitoring (on its behalf or on behalf of the owners of the assets) the fulfilment of obligations of the company and the relevant counterparties under existing agreements and taking the necessary actions if required;
Fulfilment of other legal tasks requested by the company’s management.
Namizədə tələblər:
A bachelor’s degree in Law or any other related field
Strong legal experience in corporate and commercial matters, especially in commercial real estate
8+ years of experience working in legal corporate environment
Required skills:
Negotiation, Strategic thinking and planning skills with the ability to proactively execute and deliver;
Apply understanding of the legislative process and common law to identify and solve complex legal matters;
Solid knowledge of general business law and regulatory framework;
Organizational/prioritization skills with an ability to multi-task to manage multiple projects while maintaining close attention to detail;
Strong communication skills equally in Azerbaijani and English, both in verbal and written form;
Proficiency in the use of MS Office Suite, necessary for creating both visually and verbally engaging materials, reports, presentations.
